Depository Agent

As Depository Agent, GBSC will help facilitate all aspects of a transaction. Our experienced professionals will review all of the offering materials to ensure compatibility of the offer procedures with the Depository Trust Company. As an agent, GBSC is able to monitor tenders of Notes from the Depository Trust Company Participants. For every offer, we assign an experienced deal administrator to set up a system according to the specific transaction and customize it to meet the client's goals. The deal administrator handles and monitors the progress for each Note tendered and any tender withdrawals through the Depository Trust Company's ATOP system. We certify the results on the expiration of the offer and provide the client a Letter of Certification stating the amount tendered. As a depository, we will supply to the Issuer daily activity reports to update the client on the progress of the offer. And upon the completion of the offer, we will calculate and generate a settlement report of what has been tendered and guide the client through the settlement process. GBSC will calculate pro-rata items for the settlement procedures if necessary and will coordinate payment allocation with the Depository Trust Company upon completion of the transaction.
